Terms of Service

These Terms of Service (“Terms”) form a legally binding agreement between you (“Customer”, “you”, “your”) and WebPod Limited (“WebPod”, “we”, “us”, “our”).

WebPod Limited is a company registered in England and Wales (Company No. 16948662) with its registered office at Oak House, Samuel Brunts Way, Mansfield, NG18 2AH.

By creating an account or using our services, you agree to these Terms in full. If you do not agree, you must not use the Services.

1. Eligibility and Authority

By using the Services, you confirm that:

  • You are at least 18 years of age
  • You have legal capacity to enter into contracts
  • If acting on behalf of a company, you have authority to bind that entity

2. Description of Services

WebPod provides self-managed cloud infrastructure services including Virtual Private Servers (VPS), storage, networking, and related hosting services (“Services”).

Unless explicitly stated otherwise:

  • Services are unmanaged
  • We do not administer or maintain customer software
  • We do not monitor or manage customer data
  • You are solely responsible for configuration, updates, and security of your systems

3. Account Responsibility and Security

You are responsible for all activity that occurs under your account.

You agree to:

  • Maintain the confidentiality of account credentials
  • Use strong passwords and security practices
  • Promptly notify us of unauthorized access or security breaches

WebPod is not liable for losses caused by compromised credentials.

4. Acceptable Use Policy

You may not use the Services for unlawful or prohibited activities.

Prohibited activities include, but are not limited to:

Infrastructure Abuse

  • Cryptocurrency mining or other sustained high-compute workloads that degrade hardware lifespan
  • Operating botnets or command & control systems
  • Launching or participating in DDoS attacks
  • Port scanning or vulnerability scanning without permission
  • Running Tor exit nodes or anonymisation services that generate abuse complaints (unless explicitly approved)

Network Abuse & Fraud

  • Spam or unsolicited bulk email
  • Hosting phishing or scam websites
  • Payment fraud or impersonation
  • Brute-force attacks against any systems

Illegal or Harmful Content

  • Child sexual abuse material (CSAM)
  • Terrorism-related content
  • Malware or ransomware distribution
  • Copyright or trademark infringement
  • Any activity that violates UK law or applicable regulations

We may investigate suspected violations and may suspend or terminate Services without notice where necessary to protect infrastructure or third parties.

5. Fair Use and Resource Usage

WebPod operates a shared infrastructure platform.

Excessive or abusive usage includes:

  • Sustained CPU or disk I/O saturation
  • Excessive network bandwidth causing platform instability
  • Any workload degrading service for other customers

We may throttle, restrict, suspend, or terminate Services where excessive usage is detected. Advance notice may not be provided in urgent situations.

6. Service Availability

Services are provided on an “as available” and best-effort basis.

We do not guarantee:

  • Uninterrupted uptime
  • Continuous availability
  • Error-free operation

Maintenance, upgrades, hardware failures, and incidents may result in service interruptions.

7. Backups and Data Responsibility

You are solely responsible for maintaining independent backups of your data.

WebPod does not guarantee data preservation and accepts no liability for:

  • Data loss
  • Data corruption
  • Business interruption
  • Loss of profits or revenue

RAID or redundancy is not a backup solution.

8. Fees and Billing

Currency & Taxes

All pricing is in GBP and exclusive of VAT unless stated.

Billing Cycle

Services are billed monthly in advance. You authorize automatic payment using your stored payment method.

Non-Payment

  • Accounts overdue by 7 days may be suspended
  • Accounts overdue by 14 days may be permanently deleted

Cancellation

Services may be cancelled at any time via the customer dashboard.

No refunds are provided for partial billing periods.

Price Changes

We may change pricing with 30 days' notice. Continued use constitutes acceptance.

9. Suspension and Termination

We may suspend or terminate Services immediately if:

  • You breach these Terms
  • Payment fails or is overdue
  • Abuse or legal complaints are received
  • Continued operation poses risk to infrastructure

Upon termination:

  • Services and data may be permanently deleted
  • We are not obligated to retain or recover data

10. Customer Content and Intellectual Property

You retain ownership of all data and software you host.

You grant WebPod a limited license to store and transmit data solely to provide the Services.

We do not claim ownership of customer content.

11. Indemnity

You agree to indemnify and hold harmless WebPod from any claims, damages, or legal costs arising from:

  • Your use of the Services
  • Content hosted on your servers
  • Violations of law or third-party rights

12. Limitation of Liability

To the fullest extent permitted by law:

  • Services are provided “AS IS”
  • All warranties are disclaimed, including merchantability and fitness for purpose

WebPod's total liability for any claim shall not exceed the amount paid by you during the three months preceding the claim.

We are not liable for:

  • Indirect or consequential losses
  • Loss of revenue or profits
  • Loss of business or goodwill

13. Force Majeure

We are not liable for failure or delay caused by events beyond our reasonable control, including:

  • Power outages
  • Internet or network failures
  • Natural disasters
  • Government action
  • Labour disputes

14. Changes to Terms

We may update these Terms at any time.

Continued use of the Services after updates constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of England and Wales.

All disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
